Regulatory Statutes

Article 1: Preamble

An association is to be established under the name of the "Saudi Environmental Association" with its headquarters to be at King AbdulAziz University in Jeddah, Kingdom of Saudi Arabia, referred hereinafter as the "Association". Several branches may be founded for this Association in any other places in the Kingdom of Saudi Arabia, wherever deemed necessary as per a resolution of the University's Council.

Article 2: Goals of the Association

The Saudi Environmental Association aims at:

7. Developing the scientific thought in field of environment, and working on the activation and dissemination of it.
8. Attaining the real scientific and professional communication among the Association's members.
9. Providing the theoretical and practical scientific consultations in field of environment.
10. Encouraging the use of Arabic language in fields and activities of environment.
11. Leveling up the scientific and professional performance of the Association's members.
12. Facilitating the dissemination and exchange of scientific production and thought within the Association's areas of interest among the concerned authorities and institutions at home and abroad.

Article 3: Activities of the Association

The Association attains the basic goals stated in Article 2 above in form of certain committees and specialized groups in the various environmental fields, mainly through:

11. Encouraging academic research and consultancy in terms of both theory and practice within the Association areas of interest.
12. Spreading up the academic production with its various forms in a way serving the Association's objectives.
13. Holding academic sessions as seminars, workshops, courses and lectures.
14. Encouraging the use of Arabic language in translation, writing, publication and education.
15. Issuing an academic journal and periodic publications in the various environmental majors and fields.
16. Proposing up the proper instruments which may develop the environmental educations and compete the scientific development.
17. Conduct certain scientific studies to level up the various empirical environmental practices.
18. Encouraging the scientific innovation such as intelligence applications, simulation, computer applications and any other technologies which may be used in connection to environment.
19. Sharing information and expertise in fields of environment with all identical associations.
20. Organizing scientific trips for the Association's members and holding certain competitions within the areas of interest of its.

Article 4: Types of Membership

The membership shall be herein at four types:

5. Working membership, which is to be granted to all those having fulfilled the terms and conditions of membership (Article 5) as having an academic degree or an equivalent of its in any of the various environmental fields.

6. Honorary membership, which is to be granted by the resolution of the General Assembly to all those having played a certain role in the development of the Association's areas of interest and/or presented certain financial or spiritual services to the Association. An honorary member shall be exempted hereby from the subscription fees. He may also attend any of the sessions of the General Assembly or its various committees and have a certain part at these sessions' discussions, yet he is not entitled to vote.

7. Associate membership, which is to be granted to those students and workers in any of the environmental fields, who do not have any academic degrees as specified for membership. This associate member shall be exempted herein from a sum of 50% of the total value of the annual subscription. He may also attend any of the sessions and the General Assembly or its various committees and have a part at these sessions' discussions, yet he is not entitled to vote.

8. Corporate membership, which is to be granted to any natural authority in the Kingdom of Saudi Arabia whether his authority is a public or private institution, company, club or society, which are all concerned with the environmental sciences and applications, and are willing accordingly to obtain this membership to make use of the Association's services. The terms and conditions of this corporate membership shall apply to any individuals or groups mainly representing these aforesaid authorities.

Article 5: Terms of Membership

A working member of the Saudi Environmental Association shall:

6. Fill in the given application of membership.
7. Be of a good conduct, and have not been accused of any ethical or moral offense.
8. Pay the specified fees of membership.
9. Be approved by a resolution of the Association's directing board, which may in turn approve or disapprove the application without mentioning the reasons.
10. Fulfill any terms and conditions which may be deemed essential by the Association's directing board.

Article 6: Termination of Membership

A membership shall be terminated in case of:

1. Withdrawal or death.
2. Violation of any of the terms of membership.
3. Assumption of any acts ending to causing a damage to the Association whether this damage is financial or spiritual. In this case, the membership shall be dropped only by a resolution of the Association's directing board.

Article 7: Re-approval of Membership

A membership may be re-approved to any of the Association's members only if the reasons of termination have been removed.

Article 8: General Assembly

The General Assembly shall be composed of all the working members of the Association. This Assembly shall hold an ordinary meeting once a year as per an invitation of the Chairman of the Association. The meeting shall be deemed valid only by the presence of the majority of the members. Otherwise, another meeting shall be held within two months from the date of the first meeting. This meeting shall be deemed valid only by the presence of at least 10% of the working members of the Directing Board. An unordinary meeting may be held whenever deemed necessary upon the request of the Directing Board or five members of the General Assembly at least.

Article 9: Authorities of General Assembly

The General Assembly is authorized at:

1. Passing the rules which may regulate up the Association's internal conduct of work.
2. Approving the annual balance sheet of the Association and attesting its final account yearly.
3. Approving the annual report of the Association.
4. Proposing the establishment of any branches for the Association upon a recommendation of the Directing Board (e.g. women's branch).
5. Appointing an external auditor for the Association's accounts and specifying the rates of this auditor.
6. Selecting the members of the Directing Board.
7. Approving the action plan mainly proposed by the Directing Board.
8. Proposing the location of the Association's headquarter.
9. Proposing the dissolution of the Association.

Article 10: Honorary President

The General Assembly may, upon a proposal of the Directing Board, nominate an honorary president for the Association among the dignities mostly known for their interest in environment for one three-year period, as per a resolution of the University's Council. This President may hereby chair any of the sessions he/she attends.

Article 11: Resources and Budget

First: The Association depends basically upon its self-provided resources, which are mainly:

1. The total sum of the members' annual subscriptions.
2. The total sum of what the Association sells of publications and periodic newsletters, and what it provides of services, certainly within the goals of its.
3. The returns of what the Association holds of courses and programs.
4. The gifts, grants, denotations, and aids which are provided by both public and private universities, authorities and individuals.

Second: The Association's Balance Sheet and Final Accounts:

1. The fiscal year of the Association shall start and end with the University's own fiscal year.
2. The final accounts shall be prepared in accordance with the professional rules and norms.

Article 12: Directing Board

1. The Directing Board shall be composed maximally of nine members to be selected by the General Assembly by confidential voting out of its working members, provided that a third of them at least are of the University's cadres.
2. The membership of the Board shall be for a term of three years to be renewed only once.
3. In case that any of the Directing Board's members does not attend the Board's meetings three successive times with no fair excuse, the Directing Board may then have this member deemed resigned.
4. In case that the membership of any of the Directing Board's members mainly selected by the General Assembly is deemed vacant for any given reason, the Board shall select a substitute member, provided that the General Assembly approves his selection at the first meeting of it.
5. The Directing Board shall by confidential voting select a chairman out of its members for a term of three years to be renewed only once, provided that this chairman is one of King AbdulAziz University's cadres. The Board may select out of its members a vice-chairman, a secretary and a treasurer.
6. The chairman of the Directing Board shall represent the Association before any party, and act on behalf of it in any communications with the public or private authorities at home or abroad in accordance with the mainly-stated regulatory procedures. The chairman may also appoint and authorize the deputy of his in this respect.

Article 13: Meeting of Directing Board

The Directing Board shall have an ordinary meeting once a month. This meeting shall be deemed valid only by the presence of the minimal majority of the Board's members. The Board may hold an indefinite number of unordinary meetings whenever requested by more than the half of its members or by the fifth of the General Assembly's members or requested directly by the Chairman. In this case, this meeting shall be restricted to the discussion of the particular topics for which this unordinary meetings has been held.

The resolutions of the Directing Board shall be approved by the majority of the present members. In case of equal votes, the Chairman's vote shall have the point settled.

Article 14: Authorities of Directing Board

The Directing Board is authorized at:

1. Proposing the Association's budget.
2. Preparing the General Assembly's agenda.
3. Proposing the Association's general policy in course of the goals stated above, and presenting them to be approved by the General Assembly.
4. Proposing the Association's internal rules and regulations.
5. Composing the Specialized committees and groups so as to do the Association's jobs.
6. Preparing the Association's annual report of activities to be approved by the General Assembly.
7. Specifying the annual subscriptions of the members.
8. Authorizing the preparation of studies and researches.
9. Requesting the approval on the given courses, seminars and lectures in accordance with the regulations mainly stated in this regard.
10. Accepting the gifts, grants, denotations and aids.

Article 15: General Provisions

1. The Association shall directly report to the Chancellor of King AbdulAziz University or to any of his deputies.
2. If the Association is dissolved (for any reason), the properties of its shall be referred to King AbdulAziz University.
3. If the Association is resolved to be moved from King AbdulAziz University to any other location, all of the Association's properties and documents shall be moved accordingly to the newly-proposed location.
4. These statutes shall be in effect as soon as they are approved.
